Carlisle Process Systems Announces the Signing of Two Letters of Intent to Acquire Stork Friesland and Zimmer Corporation

Carlisle Companies Incorporated (NYSE:CSL) is pleased to announce the signing of two letters of intent to acquire the assets and goodwill of Stork Friesland in Gorredijk, Holland and Zimmer Corporation in Columbia, Maryland.

Stork Friesland is part of Stork, BV and designs and manufactures evaporators and spray dryers for milk powder plants worldwide. It is market leader in Australasia where the biggest increase in milk powder production has taken place over the last ten years. Stork dryers operate at very high capacities and have earned Australasian dairy exporters a reputation for producing premium quality whole milk powders at the lowest possible cost.

Privately held Zimmer Corporation is a market leader in North America for evaporators for milk and whey powders as well as for waste water. The company also specializes in the design of high temperature aseptic food processing systems.

Tim High, President of Carlisle Process Systems stated, "The acquisitions of Stork Friesland and Zimmer will form the cornerstone of our new evaporation and powder group. We already hold the number one position for cheese systems and together with several smaller acquisitions that we are close to announcing we will be able to provide the associated whey processing, as well as milk evaporation and drying. Expanding Carlisle Process Systems into this area is a natural for us. Whey is the byproduct from cheese-making and because of its nutritive and functional value can be more valuable to our customers than cheese. In addition, we already work with the core elements of powder production through our controls, fabrication, and site installation teams."
